thornberry — Beta Test / Pre-Release Agreement

Pre-release (beta) notice. thornberry is currently offered as a pre-release, beta version (1.0.0-beta). The Beta Software is a work in progress and may change, fail, or lose data, and is provided on an “as is” and “as available” basis as described below. By using it, you acknowledge and accept its pre-release nature.
This Beta Test / Pre-Release Agreement (the “Beta Agreement”) supplements the thornberry Terms of Service & EULA (the “Terms”) and applies while you participate in the thornberry private beta or use any pre-release build (the “Beta Software”). Capitalized terms not defined here have the meanings in the Terms. If there is a direct conflict between this Beta Agreement and the Terms regarding the Beta Software, this Beta Agreement controls. If you do not agree, do not use the Beta Software.
1. Beta Access
1.1 The beta is invite-only and paid. Access requires a valid Invite Code, purchase of the one-time US $199 license under the Terms, and ongoing eligibility (at least 18 years old; U.S. resident using the Service from the United States). There is no free beta tier.
1.2 We may add, change, suspend, or end the beta, any feature, or any participant’s access at any time, with or without notice, and we may limit the number of participants.
2. Pre-Release Nature; No Reliance
2.1 Pre-release. The Beta Software is a pre-release, work-in-progress product. It may contain bugs, errors, and defects; it may be unstable; it may behave unexpectedly; and it may fail, crash, hang, or lose data. Features may be incomplete, may change, or may be removed without notice.
2.2 No SLA; no uptime. The Company makes no service-level, uptime, availability, performance, latency, or support commitment for the Beta Software. Updates, fixes, and support are provided at the Company’s discretion, if at all.
2.3 Do not rely. You should not rely on the Beta Software for any critical, production, or high-stakes purpose. You should not enable live trading on the Beta Software unless you fully accept the risk of loss, including the risk that a defect, outage, or unexpected behavior could affect order handling at your Broker. You remain solely responsible for every order and trade. See the Trading-Risk Disclaimer.
2.4 Live-trading caution. Even though the Application is paper-first, includes a per-Strategy paper-only period on its own clock, requires explicit opt-in plus multi-factor authentication to enable live trading, requires your approval of each live order, and provides a kill switch, none of these features guarantees against loss, error, or malfunction in pre-release software.
3. Enhanced “AS IS”; No Warranty
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE BETA SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS, AND WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. THE WARRANTY DISCLAIMERS AND LIMITATIONS OF LIABILITY IN THE TERMS (DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY) APPLY WITH FULL FORCE TO THE BETA SOFTWARE AND ARE INCORPORATED HERE BY REFERENCE.
4. Data-Loss Waiver; Your Backups
4.1 You acknowledge that the Beta Software may corrupt, delete, or lose your data, including local logs, configurations, audit records, and Strategy definitions.
4.2 You are responsible for maintaining your own backups. To the maximum extent permitted by law, the Company is not liable for any data loss, corruption, or unavailability arising from the Beta Software.
5. Feedback License
5.1 You may choose to provide suggestions, ideas, bug reports, feature requests, or other feedback (“Feedback”). You grant the Company a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable and transferable license to use, reproduce, modify, adapt, publish, and exploit the Feedback for any purpose, without restriction and without any compensation, credit, or attribution to you.
5.2 You represent that you have the right to provide the Feedback and that it does not include confidential or proprietary information of any third party. The Company is under no obligation to use any Feedback.
6. Confidentiality
6.1 The Beta Software and any non-public information we share about it (including unreleased features, roadmaps, performance characteristics, and Documentation) are the Company’s confidential information.
6.2 You will not disclose the confidential information or publish benchmarks, screenshots, videos, or evaluations of non-public features without our prior written consent, except as required by law. You will use the confidential information only to participate in the beta.
7. Changes; Discontinuation; Environment Resets
7.1 We may change, suspend, or discontinue any feature of the Beta Software at any time, with or without notice. We may convert, reset, or wipe beta environments and local beta data when the beta ends or when we issue a new build.
8. Relationship to the One-Time / “Lifetime” License
8.1 Beta access is paid: it requires the one-time US $199 license under the Terms. There is no free beta tier, so beta participants are paid licensees.
8.2 Your purchase of the one-time license is governed by the Terms, including the 14-day money-back guarantee and the definition of “lifetime” (operational life of the product; minimum support period). The 14-day money-back guarantee applies to your purchase regardless of beta participation.
8.3 If you hold a paid license and continue to receive pre-release builds, this Beta Agreement governs those pre-release builds, while the Terms govern your underlying license.
8.4 Beta-to-paid benefits. Beta participation confers no additional purchase benefit; beta participants buy the same one-time license as other buyers and are counted toward the 2,222-buyer limit.
9. Term; Survival
9.1 This Beta Agreement applies for the duration of your beta participation or use of any pre-release build and terminates when the beta ends or your access is revoked.
9.2 Sections 3 (AS IS), 4 (data-loss waiver), 5 (feedback license), and 6 (confidentiality) survive termination.
